Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "User") and Quordx Capital ("Quordx," "we," "our," or "us"). They govern your access to and use of quordx.com and any related pages, applications, content, and services (collectively, the "Site"). By accessing or using the Site you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

1. Eligibility

The Site is intended for use by U.S. small and medium-sized businesses and the individuals authorized to act on their behalf. You represent that you are at least 18 years old, have authority to bind the business you represent, and are seeking commercial, business-purpose financing only. The Site is not intended for consumer financing, residential mortgages, owner-occupied real estate, or use outside the United States.

2. Nature of Our Service

Quordx is a business funding facilitator. We collect information from prospective borrowers, match them with lenders and capital providers in our network, and provide informational content. Quordx is not a bank, lender, broker-dealer, investment adviser, attorney, accountant, or tax adviser. Any specific lending decision, approval amount, rate, fee, repayment structure, and contract is made and issued solely by the lender. Lenders set their own underwriting criteria.

When you click "Apply for Funding," you are redirected to a third-party lending application portal operated by Levr.ai. Use of that portal is governed by its own terms and privacy policies. Quordx is not responsible for the content, operation, security, or availability of third-party portals or lender websites.

3. No Offer, No Guarantee, No Advice

Nothing on the Site constitutes an offer or commitment to lend, an offer to sell or solicitation to buy any security, legal advice, tax advice, financial advice, accounting advice, or investment advice. Funding ranges, timelines, rates, and qualifications shown are illustrative only. Actual approvals, terms, and timelines depend on the lender's evaluation of your business. Past performance is not indicative of future results.

4. Your Representations and Application Accuracy

You represent that all information you submit through the Site or any linked portal is true, accurate, current, and complete, and that you have authority to provide it. Submitting false, misleading, or fraudulent information may result in denial of funding, civil liability, and referral to law enforcement. You agree to update information promptly if it changes during the application process.

5. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of any U.S. federal, state, or local law;
• Misrepresent your identity, your business, or your authority to apply for funding;
• Submit malicious code, attempt to gain unauthorized access, probe, scan, or test the vulnerability of the Site;
• Interfere with or disrupt the Site, servers, or networks, or violate any applicable security protocols;
• Scrape, harvest, frame, mirror, or otherwise copy substantial portions of the Site without prior written consent;
• Use the Site to send unsolicited commercial communications, harass others, or infringe any third-party rights;
• Reverse engineer, decompile, or attempt to derive the source code of any portion of the Site.

6. Intellectual Property

All content on the Site, including text, graphics, logos, icons, images, videos, audio, design, layout, and software, is owned by Quordx or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business purposes only. All other rights are reserved.

"Quordx," "Quordx Capital," and the Quordx logo are trademarks of Quordx Capital. Other product, service, and company names are trademarks of their respective owners.

7. Third-Party Content and Links

The Site may contain blog posts, articles, and links to third-party websites and services (including Levr.ai and individual lenders). Such content is provided for informational convenience only. Quordx does not endorse and is not responsible for any third-party content, products, or services, including any lending decision a third party may make.

8. Advertiser and Compensation Disclosure

Quordx may be compensated by lenders or capital providers when applications submitted through the Site result in funded transactions. Compensation does not change the rate, fee, or terms you are offered by a lender. See our Advertiser Disclosure for full details.

9. Communications Consent

By submitting any form on the Site or the linked lending portal, you expressly consent to receive calls, text messages, and emails from Quordx, its lending partners, and their service providers at the contact information you provided, including via automated dialing systems and prerecorded or artificial voice messages, for purposes related to your funding inquiry. Consent is not a condition of obtaining funding. Message and data rates may apply. You may opt out at any time by replying STOP to a text, clicking "unsubscribe" in an email, or contacting legal@quordx.com.

10. Credit Authorization

The initial inquiry submitted through Quordx does not impact your personal credit score. Some lenders may perform a hard credit pull as part of their underwriting. Quordx only proceeds with such checks when you authorize them with the specific lender. Under the Equal Credit Opportunity Act, applicants are protected from discrimination on the basis of race, color, religion, national origin, sex, marital status, age, or because all or part of an applicant's income derives from any public-assistance program.

11. Disclaimers

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

Quordx does not warrant that any funding application will be approved, that any specific lender will accept your application, or that any timeline, rate, or amount described on the Site is achievable for your business.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL QUORDX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF QUORDX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

QUORDX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Quordx, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) any information you submit; (c) your violation of these Terms; or (d) your violation of any third-party rights or applicable law.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The federal and state courts located in Delaware have exclusive jurisdiction over any dispute that is not subject to arbitration under Section 15. You consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.

15. Dispute Resolution; Binding Arbitration; Class Waiver

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Delaware, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

YOU AND QUORDX EACH AGREE THAT ANY ARBITRATION OR PROCEEDING WILL BE LIMITED TO THE DISPUTE BETWEEN US INDIVIDUALLY. YOU AND QUORDX WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

Notwithstanding the above, either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property rights.

16. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

17. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Material changes will be highlighted on the Site. Your continued use of the Site after changes take effect constitutes acceptance.

18. Miscellaneous

These Terms, together with our Privacy Policy and any other documents referenced here, constitute the entire agreement between you and Quordx regarding the Site and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with any merger, acquisition, or sale of assets.
